BSOD during install of Windows 7

Hi there

Really hoping someone can help. I'm upgrading my wife's PC to windows 7 and it keeps BSOD.
Her Spec:
AMD Athlon X2 7750 Black Edition 2.7GHz Socket AM2
OCZ 4GB (2x2GB) DDR2 800Mhz
Gigabyte GA-MA74GM-S2H 740G Socket AM2 onboard VGA 8 channel audio mATX Motherboard
Maxtor 250gb SATA
Antec Truepower 2.0 550

This PC has been running XP 32bit fine. I took an ghost image first and then started to install windows 7 64bit. In the final installation screen it BSOD with a 0x124 Stop error.
I then booted again from cd, formatted the disk and reinstalled windows 7 and the install finished but whatever I do in the OS a few seconds later I would get the same BSOD

Now after this I took out one of the memory sticks, but the OS BSOD again after a few minutes. I then ran memtest86+ and on this stick had no errors and 8 passes. I have since left the other stick out until I get everything sorted.

I put in an old 200gb IDE disk I had lying about and proceeded to install Win7 64 bit again, and again towards the end of the install it BSOD. I did do a full delete of partitions and created one new partition during the windows install.

I then also tried installing win7 32 bit on the Sata drive but again get it BSOD during the install.
Finally I then put the XP ghost image back onto the disk and it runs fine.

I'm kinda at a loss here and any help would be appreciated. Only thought I have is a BIOS update as it's F1 first release which is 2008/02/01 and Gigabyte have F3 2009/06/02 available ?
Any thoughts or help would be very much appreciated, and sorry for the long and convulated post !
