Hi sean,

I think the program that has a problem shutting down is:
SMax4PNP.exe

The smax4pnp.exe process puts an icon in the system tray. This icon gives you quick access to some of the features of the SoundMax software that was installed with your soundcard drivers. If you do not use the system tray icon it is safe to stop this process.
Let me know if you do that first and then shutdown the computer. Does it still produce the popup with the warning?

Using HijackThis you can put a checkmark before these entries:
O3 - Toolbar: AOL Toolbar - {4982D40A-C53B-4615-B15B-B5B5E98D167C} - C:\Program Files\AOL Toolbar\toolbar.dll (file missing)
O9 - Extra button: AOL Toolbar - {4982D40A-C53B-4615-B15B-B5B5E98D167C} - C:\Program Files\AOL Toolbar\toolbar.dll (file missing)
O9 - Extra 'Tools' menuitem: AOL Toolbar - {4982D40A-C53B-4615-B15B-B5B5E98D167C} - C:\Program Files\AOL Toolbar\toolbar.dll (file missing)

Then click Fix checked.

Regards,
