Pundit-R - Boots XP safemode, not normal XP

Building Barebones - Pundit-R system - HELP! HELP! I am stuck:-(

Built system 2.4 Celron-D
512 RAM
80 Gig Western Digital Drive
Samsung CD-R/DVD
XP Home Edition

first Pundit-R sytem would not boot in normal XP mode. Would only boot in XP Safemode. Will not boot in XP Safemode with networking.

Talked to ASUS - said return it...did

new Pundit-R - ZipZoomfly says it is good to go.
System booted first time in normal mode, plug-play event for Ethernet Controller.
rebooted and system hangs during XP screen
Now it will only boot in safemode (same problem as first Pundit-R)

Disabled drivers, etc in msconfig...did not make a difference.

I think the Ethernet Controller must go crazy if drivers not installed??

Ran memtest....memory OK.

Any ideas....I am stuck...
