bsod stop code restarts

Hi all, I am getting the famous BSOD, the Stop code is ;

0X000008e (0XC000005, 0X86A7253A, 0xB7ACFA3C, 0x000000)

funny thing is that it does not do it while I am in safe mode, and that is why i am able to post this thread. my system config is

xp pro
P4 3.0 hyp
1012 dual ram
gigabyte MB
9800 pro video
2 120 sata drives
dual layer dvd writer

the problem started after I installed nero 7 premium and also tried to upgrade to the latests drivers of my video card, exactly after which the problem started i do not know since i did both on the same day.... thank you for your help...
