This is an excelent site on networking.

Direct connecting the Win 98 computer to the modem means you have to setup for this in windows. I take it you are using a network cable from the computer to the modem. You may have to go into the networking on the 98 computer and change the settings there.heres an article by microsoft.

What would probably be the easist way to network the computers and give both computers direct connections to the modem is with a router. I use this router.

By using a router i can unplug my XP computers from the router and directly plug them into the modem to check the connection. With my Win 98 computer i have to change the setting before plugging directly into the modem.

I have found that sometimes you can delete all the temp internet files from the win 98 computer to fix the "page not found" error. Heres microsofts answer.

Hope this helps.

How are you trying to network the computers?
Through a hub/switch or through a cross over cable?
Have you run the files from xp on the 98 machine
