Do you get a specific error? If so, what is it?

Also, please confirm your OS. Your profile indicates XP, but is it Pro or Home, SP1 or SP2?

Have you just recently installed IE 7?

Here are some things to try:
Step 1
Are you getting a specific error message?
If so, go here and check it

http://v5.windowsupd...t.aspx?ln=en-us

If no error, go to step 2

Step 2

Start >Run, type
regsvr32 jscript.dll
<enter>

try windows update. Now working still? Try

Start >Run, type
regsvr32 MSXML3.dll
<enter>

try windows update. Now working still? Try

step 3

Download and install the following

Let's first try a registry cleaner to remove traces of IE 7 from the registry. I recommend Easy Cleaner by ToniArts. You can download it here: http://personal.inet...rts/ecleane.htm
** Always use extra care when editing the registry. Be sure to backup the registry or set a system restore point before making any changes.

Reboot and try the update again.

If you still can't get that download, look at this additional MS article on troubleshooting failed updates. http://support.micro...kb;en-us;906602. Pay particular attention to the section called How to troubleshoot failed updates for Microsoft Windows. Also pay attention to the sectiona called Method 2: Locate the installation log file on your computer.

I don't know. You might try disabling it and any other antivirus and/or antispyware software you've got running.
