have you looked in the event viewer to see what if any error reports.
to open the event viewer,
1 - click start
2 - click run
3 - in the run box type > mmc.exe C:\WINDOWS\system32\eventvwr.msc

Were you using a 'shutdown sound' when exiting/shutting down windows? Sometimes the sound file becomes corrupt and causes windows to hang on shutdown. If so go into Sounds in Control Panel. Go to the Sounds tab and under Windows you'll find 'Exit Windows'. If a sound is selected.....use the drop down arrow and select 'no sounds'. Reboot and try exiting/shutting down again. That's how it looks on my W2000 box. XP may be slightly different....

could try unplugging some hardware, usb devices, internal, external, etc, just to have the bare essentials, now boot the computer up and try to shut it down. If the system shuts down properly, then one of the devices that you disconnected was causing the problem.
could be a bios update ?.

xxx1- I looked in the event viewer and there are quite a few errors what do i do with them? My computer only has the bare essentials on it and I'm now sure what a bios update is.
