Pls help! Guard.exe 100% cpu problem

Hi, my computer is running at 100% cpu usage constantly and when i check 'processes' i see that it is 'guard.ex' that is using about 99% of the cpu usage. I tried to shut it down manually, but its not letting me do it. I have AVG anti-spyware, so i thought that might be causing it, so i shut that down, but it still shows that 'guard.exe' is using abt 100% cpu. How do i rectify this problem? Its causing my system to run very slowly.
