rmvb to mp4 help

I have a rmvb file that I want to convert to Mp4.
I tried converting it using WinAvi ipod video converter and xilisoft ipod video converter.
winavi works but it comes out without audio.
on the other hand, xilisoft doesnt start converting.

There is audio on the original rmvb file because i tried playing it with real media player.
Could it be a codec problem?

Please help me...
