CPU upgrade - cooling questions

Prices are down on 939 processors (or at least much lower than I paid two years ago). I'd like to upgrade my AMD 64 3000+ to something faster. Mine was a retail model that came with a heatsink and fan with thermal compound footprint already applied in the box.

My question is, if I upgrade to something like this...

....will I need to purchase a 3rd party cooling device of some kind, or can I just reuse the heatsink and fan that is currently cooling my 3000+? I wasn't sure if the faster X2 chip would require more substantial cooling.
