Am I overheating or not.

Hi I just built my first computer about a week ago here are my system specs.

core 2 duo processor E6850 3.0Ghz
cool max 550 wats.
XFX 8500GT 256 Megabytes
OCZ 800MHZ 2 gigs (timing 4-4-4-15)
SATA Seagate Hard rive 7200 rpm.
ULTRA ATX Grid Case
Sony dvd burner

So I was converting a home movie on Nero and I noticed that my CPU temperature reached 44 Celsiuses. Is this too hot because when I'm playing Battlefield 2 the CPU temperature reaches no more then 36 Celsius. I'm using a stock CPU fan.
Also I over clocked my CPU to 3.06 well my computer does it by default.Thanks :)

That's not an overclock, the 3.06GHz is rounded down to 3GHz.

No you are not overheating, that CPU is in it's safe zone till it hits 72*C.
