first i want to thank ya'll for the help.
Here is the process that I went through to resolve the issue. The part that ended up fixing the issue is highlighted:
Action(s):
mskb940349 installed
mskb940032 has been completed
set the vss service to manual
erorrs: 12302 8212
cd /d %windir%\system32
Net stop vss
Net stop swprv
regsvr32 ole32.dll
regsvr32 oleaut32.dll
regsvr32 vss_ps.dll
vssvc /register
regsvr32 /i swprv.dll
regsvr32 /i eventcls.dll
regsvr32 es.dll
regsvr32 stdprov.dll
regsvr32 vssui.dll
regsvr32 msxml.dll
regsvr32 msxml3.dll
regsvr32 msxml4.dll
no go
cd c:windowssystem32
net stop vss
REGSVR32 /i SWPRV.DLL
Regsvr32 ole32.dll
Regsvr32 vss_ps.dll
Vssvc /Register
Regsvr32 /i swprv.dll
Regsvr32 /i eventcls.dll
Regsvr32 es.dll
regsvr32 ole32.dll
regsvr32 vss_ps.dll

Open the registry and locate the registry key:
HKEY_LOCAL_MACHINE\SYSTEM\Setup
Ensure both registry values are set to 0:
- SystemSetupInProgress
- UpgradeInProgress <<<< this was set to 1
vssadmin list writers did not work
restarted the volume shadow copy service
vssadmin list writers then worked
tested this with nt backup and it worked.
Resolution:
Setting the regkey and then restarting the service resolved the issue.
