Upgrade to 64 bit?

Would it be worth while to upgrade to a 64 bit system?

(See sig. for hdw. profile)

I know I can get more RAM (have 2GB now, can go to 3GB under 32 bit or 8GB under 64 bit)
But what other benefits or draw backs are there?

Do you need a 64-bit system? Do you need 8Gb of RAM? Do you have software that cannot run under 64-bit?
Like saying I have a car, do I need another one? When replacing the car you look at why you need to replace it, usually you don't replace it just for the heck of it.
