Cannot install Security Update .Net (KB953297)

I have been getting this message for about a week now when I try to install a MS update to Win XP SP3...

The following updates were not installed...

"Microsoft .NET Framework 1.1 Service Pack 1 Security Update for Windows 2000, Windows XP, Windows Vista, Windows Server 2008, Windows 7, and Windows Server 2008 R2 (KB953297)"

Any ideas as to why I cannot install this update? I also noticed that Outlook 2003 loses its ability to display the calendar, and contacts.

Here is what I get...

Here are my specs -

Dell Optiplex 740 Mini-Tower,
Win XP SP3
AMD Athlon 64 X2 4600+ (2.40 GHz, 512KBx2)
4GB DDR2 Non-ECC SDRAM, 800 MHz,
(2) 250 GB SATA, 7200 RPM Hard drives with Data Burst Cache

Please help!!

Also, I check off the little box in Spy Sweeper when it pops up and it still will not install the update.
