This laptop freezes up shortly after it is finished booting up. It will run all day in Safe Mode. It boots and runs fine with just the System.INI files loaded, and also with the Windows.INI files loaded.

MBytes finds nothing. Search & Destroy finds nothing. Avast finds nothing.

While in Safe Mode...

Go Start>Run (Start Search in Vista), type in:
msconfig
Click OK (hit Enter in Vista).

Click on Startup tab.
Click Disable all
IMPORTANT! In case of laptop, make sure, you do NOT disable any keyboard, or touchpad entries.

Click Services tab.
Put checkmark in Hide all Microsoft services
Click Disable all.

Click OK.
Restart computer in Normal Mode.

NOTE. If you use different firewall, than Windows firewall, turn Windows firewall on, just for this test, since your regular firewall won't be running.
If you use Windows firewall, you're fine.

Same problem?

Something is not right here....
'Application' Log shows only old errors, so it's irrelevant here.
'System' Log shows two sets of errors. One from this morning and a second one from this afternoon.
What is strange to me is the fact, that some errors come from mrtRate.sys file, which is Quicken file.
If you followed my previous advice (post #2) nothing non-Microsoft should be running.

You may want to re-try steps from my reply #2.

Ok, thanks for you patience!

I have started it in Safe Mode. I chose Administrator.

In Start Up, I disabled all

In Services, I checked Hide all Microsoft Services, the disable all.

I Click OK.

Then I get a box that says "A Access Denied error was returned while attempting to change a service. You may need to log on using an Administrator account to make the specified changes"

I click OK.

It then asks me to restart.

I restart in Normal Mode.

The MS Config Box comes up again. I hit OK, and restart later.

I ren View and here is the result:

Access Denied error was returned while attempting to change a service

The above would explain, why no services are actually disabled.
To fix the above issue, see here: http://www.ehow.com/...rror-using.html

When done, try steps from reply #2 again and see, if you're still getting an error.

I didn't have the HP printer driver that the article was referring to, but I DID happen to see a McAffee service file in there. McAffee was unistalled from this computer about a year ago. I deleted the file and then I was able to change the msconfig stuff. I will post the View results below, but meanwhile I am testing the laptop to see if it is still going to freeze or reboot.

You are not going to believe this, but it runs like a charm now! No freezes, no shutdowns...I have put it through the paces, and all is good!

Pretty weird to me.

Thanks for you time and assistance!

Very good news :)
But...we disabled all those startups and services for testing purposes only.
Some of them, like antivirus program are definitely needed.
This is what you have to do.
Go back to msconfig and start re-enabling all services and startups, you disabled before, but only ONE-BY-ONE, restarting computer each time until you find the culprit.
Start with services.
