A quick search for "PROPLUS.MSI" on google provides a lot of information.
From what I read on it, it seems PROPLUS.MSI is part of the Windows Installer 3.0, which you can get from Windows Update. It's part of Windows XP SP2.
As another page reads:
The file proplus.msi is not posted by Microsoft or any other legitimate third party, so I cannot stay within <sensored> rules and give you a link to it.
If all else fails, you could always call Microsoft for tech support on a retail version of Office. If you have an OEM version of Office, then you need to contact the OEM vendor for tech support--Microsoft won't provide it.

As per Microsoft..
"For Windows XP users
To install Windows Installer 3.0, update to Windows XP SP2."
There fore, as already mentioned, you will need to update to SP2 in order to install the updates..

That may not be entirely true... I found this post in a forum:
Get SP2 which has the 3.0 version of windows installer or you can get windows installer 3.0 from the link below if you don't want to get SP2.

I have not tried this, however, so I can not recommend it, but just to give you the choice, I posted it

Did you do a search for "PROPLUS.MSI" to see if was indeed on your system??

its not i checked and i went to that site and downloaded the installer 3.1 and it still doesnt work

When you sold the cd, you were legally required to remove OfficeXP from your system due to the activation requirement..
Technically, you are running pirated/illegal software now!!

Nope.. if I were to help you now, I would be condoning pirated software..
Ever think your problem may be due to the fact whomever you sold the OfficeXP cd to has activated it on their machine thus negating your activation and, due to that, your right to update the program??

nope thanx for all of ur help now i gotta c if i can get a new cd or get the old one
