My system is a Dell dimension 4600 with 1gig memory, 40gig hard drive..

I get F1 retry boot and F12 after dell screen

was having a problem with c000021a before this,

i changed the 40gig hard drive to a 320gig hard drive and upgraded to 4 gig memory

now I get the F1 and F12 black screen.

I have tried rebooting to cd and/or floppy, last known config. etc.

I am thinking it is something with my motherboard since it wont let me boot to anything, not even a c:/

I would try changing your motherboard cmos battery, if you can boot after check all your BIOS options (date, settings) since they may have been set back to default.
