Direct X problem

I'm trying to update Direct X, however, each time I try it says this in the log file:

07/09/05 09:49:13: dsetup32: IsTargetFileInUse(): C:\WINDOWS\SYSTEM\mpeg2data.ax is locked!
07/09/05 09:49:13: dsetup32: Installation ended with value -20 = One or more DirectX component files are being used, need to exit all applications.

Even if I have all programs shut down. I've done several scan disks, no errors... scanned for virus', spyware, registry problems... you name it i've pretty much done it, and still getting this problem.
I hope you guys can help me with this!
