Upgrading from 2000 to XP problems

I am trying to upgrade a computer from 2000 to XP, but i am getting a message saying that XP cannot alter the boot.ini file. What should I do? i don't want to do a clean install I really would like to just upgrade it.

At the end of Preparing Install

"Setup was unable to create locate, or modify a critical file (C:\BOOT>INI) needed to start Windows XP

THe parameter is incorrect "
