Windows Xp won't shutdown

When I shut down windows Xp, I get an error saying The instruction at 0x005368e1 "reffered memory at 0x00000000" The memory could not be read. Please Click ok and terminate this application.

When I click Ok, to terminate the application, it just stays at that same screen.
