HELP! black screen/refresh/drawing problem

PROBLEM DESCRIPTION:
-Screen goes black for a fraction of a second on windows then comes back with drawing problems (ie:windows displayed incorrectly, deformed text) when i'm on desktop browsing through web..etc..
-Screen goes black on 3d games (warcraft III frozen throne) and hangs (rare)
-Light effects on 3d games go psychedelic (light intensity varies quickly in time where it should be constant...flickers? - i lack vocabulary -_-)
-Sometimes the game freezes for a few seconds then comes back with the light effects changed( sometimes they get ok, sometimes they continue to be bugged and flickering, but different)

WHAT I ALREADY DID:
-flash bios to the latest version

-run memtest on ram for hours(0 errors)

-defrag hard drives

-reinstall gef4-mx 440 drivers from the original CD

-install the latest drivers from the graphic card manufacturer

-all directx diagnose tests are ok

-the CPU and mobo were a bit too hot recently(once i saw cpu w 70ºC!!!!)
but now that i put a fan near the open box, temperatures dont go above 50ºCPU-35º mobo even under load, so its probably placed correctly.

-Tried to disable hardware acceleration, but it doesnt solve the problem, and if i disable it completely i cant play 3d games.

-Used system restore to a month ago when i didnt have the problem, didnt work.

-used system restore again to get back to my new bugged configuration)

-changed the refresh rate, to min 60hz, to mid configs, and to max-100hz (bugs more frequent on this one, apparently)

NOTHING WORKED -_-

something weird:
On another game , as far as i know not a 3d one(fallout tactics), it all works fine, no black screens, no hangs...nothing wrong for hours...

Is this a hardware problem?
Im really confused...
