Is this dial-up you're being disconnected from? If so, it may just be line noise. Not much you can do about that, except purchase a new hardware modem.
Expect to pay greater than $50 for a hardware modem. A hardware modem contains all the communication chips on the modem itself. Most modems today use software emulation and the CPU does the work, becuase it's a cheaper solution. A hardware modem will generally provide faster and more stable connections.
There's also a chance it could also be related to spyware. Let's take a closer look at what is running on your PC. We'll need you to use a free diagnostic tool (HiJackThis) and post a log back here with the results.
Click the HijackThis Guide in my signature, download it and follow the instructions in the guide.
Most of what it lists will be harmless or even essential, DO NOT delete or modify anything yet! Someone will be along to tell you what steps to take after you post the contents of the scan results.
