If you have downloaded and installed SP2, you can find a copy of it in C:\WINDOWS\ServicePackFiles\i386.
Copy it to the c:\windows\system32 folder.

I have never seen the contents of a SP2-CD (because I dowloaded mine).
But I think it should be in X:\i386 (just like the Windows XP Setup Disc)
(where X: is your CD-Drive letter).
You can't directly copy it because, the rundll32.exe will be called rundll32.ex_ in there.
Follow the steps below, to get it back:
Start -> Run.
Type: cmd
Press <enter>.
In the command-prompt windows type: expand x:\i386\rundll32.ex_ c:\windows\system32\rundll32.exe

I've followed the directions but in the command-prompt window, it says Can't open input file: x:\i386\rundll32.ex_.

you cannot directly copy it, but I believe you can expand it by choosing it in Explorer and then right clicking and choose EXTRACT and then pointing to your desktop
So, double click MY COMPUTER, choose the CD, right click, choose exploer
look for rundll32.ex_ and right click it, then choose EXTRACT, then move the file to c:\windows\system32

if that will not work using windows built in extract, download 7-zip
http://www.7-zip.org/
install it, and use that to right click and choose extract
I KNOW that one works on windows compressed format
