Windows XP 64-bit edition

I have windows XP 32 bit professional and I am attempting to install the 64 bit edition. I put the cd in and I am prompted to restart because the 64 bit can only install from cd. When I restart and run the cd it gets to the point "setup is starting windows" then instead of bringing up the EULA it restarts itself and wants to begin the process again repeativly. If anyone can help I would appreciate it.

Two qeestions to start. Do you have 64bit hardware? And why do you what to install the 64bit edtion over the top of your 32bit edition.
