This is generally an issue of a process running wild or a trojan (but not always...sometimes a crapped out shell).
Start in safe mode
start > run
msconfig
enter
go to the startup tab and uncheck everything except for:
scan registry
taskmonitor
system tray
Load Power Profile (two of them)
and scheduling agent
uncheck everything in autoexec.bat and config.sys tabs
check win.ini tab, WINDOWS section, and uncheck
load =
run =
reboot.
Does the problem repeat ?

problem is ok now what do i do next.... do i recheck every thing in msconfig until find the culprit

Yep....
you might also consider a visit to the malware forum and follow the instructions at the top....you may have a malware infection...
I would be curios which little bugger causes the issue if you care to come back and post it
