Super quick question

A process on my 64 bit vista processes is listed as (scheduler.exe *32). It takes up about 24-25% of the CPU. The only software I've gotten in the last few days is for my Palm Pre and NeatREciepts.

Is this a threat or a simple process for hp/vista
