I run 120 gig IDE with w2k on the first 20 gig partition using fat32, the rest is (app. 80 gig) is empty but formatted NTFS.

Does anyone see any problems with me installing Vista in the NTFS part???

no, and it is preferable.

It should be ntfs and you should install it on a new partition in a double boot situatuation, rather than upgrading your current OS
