Uninstall Spywareguard ?

Add & remove calls the program's uninstaller, so you should have had the same effect. Have you tried reinstalling it and going with the program's uninstaller?
If that doesn't work I have a few ideas.

Yes I tried that but all it did was to uninstall the new download complete not the 2 remaining files from the old download !!

What error do you get when you try to delete them? And have you tried deleting them in safe mode?

Have not tried safe mode will this make a difference ?? Error message tells me 'Access denied - Make sure disc is not full write - protected"

Ok, it looks like windows is still trying to use those files. We'll have to stop windows from using them before we can delete them.
Click Start > Run... and then type the following:
regsvr32 /u dlprotect.dll
Go to Start > Run... again and this time type:
regsvr32 /u spywareguard.dll
After that, try deleting them.
Click Start > Run... and then type the following:
regsvr32 /u dlprotect.dll
Go to Start > Run... again and this time type:
regsvr32 /u spywareguard.dll
After that, try deleting them.

OK - That worked with the dlprotect file but not the spywareguard.dll - when I type it into Run then click on the OK button I get the error message that windows cannot find the file !!??

Ok, try it this time by listing the whole path, like c:\Program files\...
So it will look like this:
regsvr32 /u "C:\Program Files\..."
Make sure you include the quotes, since there are spaces in the path.

Now that is strange. What happenes when you just type in regsvr32?

I'm so sorry - I retyped it and it went through - I think I missed a space or something - After it went through I went back to program files to try and delete the spywareguard dll but got the same error message cannot delete - file full or write protected

Ok, no problem.
I want to check something before we do this in safe mode.
Download HiJackThis and save it to a folder like c:\Program Files\HJT.
Open the program, and Do a system scan and save a log file.
Attach the log in your next post. I'm not checking for spyware, but to see if the files are still being used.
