Problem with the new Graphic card

I have a PC for 2 years until I just bought a new Graphic Card GeForce FX5200 128MB .. the PC starts to get more and more problem. At the beginning, when I switch it on, It shows the welcome message and windows XP is loading .. then as soon as that process through .. It sound a beep then restart again..
I cant event get access into my PC now..

Is there any conflict between the motherboard and my new Graphic Card? .. if so then how can I fix it?

Please help..

Hi, to help you i will need a bit more info
> What are your motherboard specs
> Did you change anything in BIOS
> Did you check to see when you bought it if it was compatible with your mobo.
> is it set to 8X and your mobo can only handle 4X AGP

And what do you mean by "cant access my PC" can you get past POST or a BIOS screen? Or you cant Get to a windows screen?
