Installing a new motherboard.

The CPU Chip & Cooling device from old motherboard have thermal paste which looks okay.

Should I use as is?

Should I clean both surfaces & apply new thermal paste?

Yes. Reusing the old paste would result in air gaps being left, poor heat transfer and overheating.
