Where do I install the utlity software on the p/c connected to the router or do I install the utlility software on the p/c I am to setting to share
the connection- Iam using the IOGEAR HomePlug KIT.....

Have a closer look at the documentation as it should spell out what goes where. If not, we will need a little more detail on what you have exactly as IOGEAR has a couple of different Homeplug models. Does it look like this: Homeplug?

Yes that is the Model I purchased it from Buy.com I used to network setup and created a disk with my network setting..Do I really need to install the utlity software I can't seem to Get it to install anyway I keep getting an Error message "stating Drive incompatible with kit/product you own?

A quick scan of the users manual does not indicate that you need to install the utility so you should be ok to skip it. That software provides encryption and some other unmentioned utilities.
