screen goes to all-black with a white blinking cursor (looks a lot like DOS-mode screen) -- so, 'puter has not ACTUALLY shutdown.
Ran registry fixer, but that didn't do anything.
Ran MSCONFIG, but not smart enuf to know what should/shouldn't be running at start-up.
So, basically to shut it down, I have to manually push-in and hold the main power button for about 5 seconds.
When I started 'puter in SAFE mode, it did shutdown correct.
